Non-Disclosure Agreement

🔒 Non-Disclosure Agreement (NDA) – 2026

Effective Date: January 1, 2026

This Non-Disclosure Agreement (“Agreement”) is entered into between FORSBJ (hereinafter referred to as “Service Provider”) and the Client (hereinafter referred to as “Receiving Party”).

By engaging our services, both parties agree to the following terms.

1. Purpose

The purpose of this Agreement is to protect confidential and sensitive information shared between FORSBJ and the Client during the course of business engagement.

2. Definition of Confidential Information

“Confidential Information” includes but is not limited to:

  • Business strategies and marketing plans

  • Advertising campaigns and performance data

  • Client data and customer lists

  • Website credentials and access details

  • Financial information and pricing structures

  • Proprietary tools, processes, and systems

  • Any non-public business information shared during the project

3. Obligations of Both Parties

Both parties agree to:

  • Keep all confidential information strictly private

  • Not disclose information to any third party without written consent

  • Use information only for the purpose of the agreed project

  • Take reasonable security measures to protect data

4. Exclusions from Confidentiality

Confidential information does not include data that:

  • Is publicly available at the time of disclosure

  • Becomes publicly available without breach of this agreement

  • Is independently developed without use of confidential information

  • Is required to be disclosed by law or government authority

5. Data Protection & Security

Both parties agree to implement reasonable security measures to prevent unauthorized access, loss, or misuse of confidential information.

FORSBJ follows industry-standard security practices to safeguard client data.

6. Non-Disclosure Period

This Agreement remains valid:

  • During the active business relationship

  • And for 2 years after termination of services

Unless otherwise agreed in writing.

7. Intellectual Property Protection

All shared materials, strategies, and proprietary methods remain the property of the respective owner unless explicitly transferred in writing.

8. Breach of Agreement

Any breach of this NDA may result in:

  • Immediate termination of services

  • Legal action or compensation claims

  • Suspension of ongoing projects

9. No Ownership Transfer

Disclosure of confidential information does not grant any ownership rights to the receiving party.

10. Third-Party Sharing

Neither party may share confidential information with freelancers, contractors, or third parties without prior written consent.

11. Return or Deletion of Data

Upon request or termination of services, both parties agree to:

  • Return or delete confidential data

  • Remove access credentials

  • Securely dispose of sensitive materials

12. Limitation

This NDA does not restrict normal marketing portfolio usage unless otherwise agreed in writing (e.g. case studies requiring client approval).

13. Governing Law

This Agreement shall be governed by the laws of Bangladesh, unless otherwise mutually agreed in writing.

14. Acceptance

By engaging FORSBJ services or sharing confidential information, both parties acknowledge and agree to this NDA.
